An Alderney-registered company must be incorporated through a licensed Corporate Services Provider and comply with the requirements of Alderney company law. At a minimum, the company needs one member, two officers, a registered office and transparent beneficial-ownership information.
Core incorporation requirements
To set up an Alderney company, you will generally need to:
- Appoint a licensed Corporate Services Provider (CSP). Incorporation can only be completed through a licensed CSP, which typically assists with filings, corporate administration and local compliance.
- Choose the company structure and name. The business should determine its legal form, such as a private company limited by shares, and prepare its memorandum and articles of incorporation. Standard articles may be used where appropriate.
- Provide at least one member. An Alderney company requires a minimum of one member, who may be an individual or a corporate entity.
- Appoint at least two officers. A company must have a minimum of two officers; corporate officers may be permitted.
- Establish a registered office in Alderney. The company must maintain a registered office and comply with obligations to keep required corporate records there.
- Disclose and verify beneficial ownership. The resident agent must take reasonable steps to identify and verify beneficial owners and submit the required beneficial-ownership information to the Registrar. The beneficial ownership register is not available for public inspection and is accessible only to authorised bodies in defined circumstances.
- Prepare ownership and funding records. For an eGambling licence application, the AGCC expects corporate documents, a shareholder register, a group-structure chart, details of management, and evidence of the amount and source of funds for the proposed activity.
For eGambling applicants
If the company will apply for an Alderney eGambling licence, it must also publish notice of the licence application in the Alderney Gazette. The licensing application should be made by the Alderney-registered company and include its incorporation details, registered-office information and corporate ownership structure.
